Terms of Service

Effective date: July 21, 2026

These Terms govern your use of Citely's website, developer API, hosted MCP server, and plugins. By using the service, you agree to these Terms. If you do not agree, do not use the service.

The Service

Citely provides literature search, citation tracing, and citation-integrity checks for researchers, students, educators, and editors. Citely compares submitted citation metadata with available scholarly sources and returns evidence-based results.

The result labels have limited meanings:

You remain responsible for reviewing source evidence and making academic, editorial, legal, or professional decisions.

Accounts, API Keys, and OAuth

You must provide accurate account information and keep your credentials and API keys secure. API activity authenticated with your key or account is treated as your activity. You must promptly revoke exposed keys and notify us of suspected unauthorized access.

OAuth access is limited by the scopes shown during authorization. You may disconnect an integration through the applicable client or identity provider. Citely may suspend credentials that are compromised or used abusively.

Acceptable Use

You may not:

We may enforce reasonable technical limits, including limits on task size, request rate, concurrency, and retention.

Credits, Pricing, and Refunds

Citation checks consume Citely Credits according to the pricing displayed in the product or API documentation. Current Citation Integrity pricing is one Credit per four submitted citations, rounded up per task. Available Credits are checked before a task starts. Citely's existing task-settlement rules determine final deductions and refunds for technical failures.

Prices, free allowances, and limits may change prospectively. Purchases are non-refundable except where required by law or expressly stated by Citely. Payment processing may be provided by third parties under their terms.

Your Content and Citely Materials

You retain ownership of citation strings, manuscripts, and other content you submit. You grant Citely the limited rights needed to process that content, operate the requested features, secure the service, and provide results.

Citely's software, documentation, branding, algorithms, and service design are owned by Citely or its licensors. These Terms do not transfer those rights to you.

Privacy

Our Privacy Policy explains how Citely processes account data, citation strings, citation-derived queries, API authentication data, and service usage information.

Availability and Changes

The service is provided on an "as is" and "as available" basis. Scholarly sources may be incomplete, unavailable, rate-limited, or contain errors. We may change, suspend, or discontinue features and may update these Terms by posting a revised version and effective date.

Disclaimer and Limitation of Liability

To the fullest extent permitted by law, Citely disclaims implied warranties and does not guarantee that every publication will be found or that every metadata comparison will be error-free. Citely is not a substitute for independent source review.

To the fullest extent permitted by law, Citely and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, or research opportunities arising from use of the service.

Suspension and Termination

You may stop using Citely at any time. We may suspend or terminate access where reasonably necessary to address violations, non-payment, security risk, legal requirements, or harm to the service or others.

Governing Terms

These Terms are governed by the laws applicable to the Citely service operator, without regard to conflict-of-law rules. Mandatory consumer rights in your jurisdiction remain unaffected.
